Free Tools provides free, browser-based utilities for image editing, PDF manipulation, text processing, developer tools, and more. All tools run entirely in your web browser and shall not require any account or signup. The Company reserves the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. No Professional Advice

The tools and content provided through the Service are intended for general informational and personal use only. Nothing on this website shall be construed as professional, legal, financial, medical, tax, or other specialized advice. You shall not rely on the output of any tool as a substitute for consultation with a qualified professional. ZAXIS Ventures LLC expressly disclaims any liability arising from your reliance on the tools or their output for any professional or specialized purpose.

ZAXIS VENTURES LLC SHALL NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZAXIS VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE.

THE MAXIMUM AGGREGATE LIABILITY OF ZAXIS VENTURES LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

6. Indemnification

You agree to indemnify, defend, and hold harmless ZAXIS Ventures LLC, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the Service caused damage to a third party.

7. Intellectual Property

The Free Tools website and its original content, features, and functionality are owned by ZAXIS Ventures LLC and are protected by applicable copyright, trademark, and other intellectual property laws. You shall not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from this Service without prior written consent from ZAXIS Ventures LLC.

8. User Responsibility

You are solely responsible for the files and data you process using our tools. We shall not access, store, or have any control over the content you process. You represent and warrant that you have all necessary rights to any content you process through the Service and that your use of the Service shall not violate any applicable law or regulation.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

10. Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered in accordance with the rules of the American Arbitration Association (“AAA”). The arbitration shall take place in the State of California. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. This clause shall not preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

11. Class Action Waiver

YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND THAT YOU SHALL NOT SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, A PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH YOU ACT OR PROPOSE TO ACT IN A REPRESENTATIVE CAPACITY. YOU FURTHER AGREE THAT NO ARBITRATION OR PROCEEDING SHALL BE JOINED, CONSOLIDATED, OR COMBINED WITH ANOTHER ARBITRATION OR PROCEEDING WITHOUT THE PRIOR WRITTEN CONSENT OF ZAXIS VENTURES LLC.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

13. Changes to Terms

ZAXIS Ventures LLC reserves the right to modify these Terms at any time at its sole discretion. Changes shall be effective immediately upon posting to this page. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
